Drone PRO Exchange – TERMS AND CONDITIONS
Introduction
These Terms and Conditions (“Terms”) constitute a legally binding agreement between “Company” (“we,” “us,” or “our”) and users of our online marketplace platform. By accessing or using our marketplace, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
1. Definitions
“Marketplace”: The online platform operated by Company that facilitates transactions between Buyers and Sellers.
“Buyer”: Any user who purchases or intends to purchase products or services through the Marketplace.
“Seller”: Any user who offers products or services for sale through the Marketplace.
“User”: Any individual or entity that accesses or uses the Marketplace, including both Buyers and Sellers.
“Content”: Any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the Marketplace.
2. Registration and Accounts
Account Creation
Users must create an account on Drone PRO Zone to access certain features of the Marketplace. When registering, users must provide accurate, current, and complete information. Company reserves the right to suspend or terminate accounts that contain false or outdated information.
Account Security
Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Users must notify Company immediately of any unauthorized use of their account or any other breach of security.
3. Role of Company
Marketplace Facilitator
Company acts solely as a facilitator that enables transactions between Buyers and Sellers. Company does not own, sell, or control any products or services listed on the Marketplace, nor does Company take possession of items offered for sale.
Limitation of Responsibility
Company’s responsibility is limited to facilitating transactions between parties and is not responsible for the quality, safety, legality, or delivery of products or services offered by Sellers. Company makes no warranties regarding any products or services listed on the Marketplace.
4. Buyer and Seller Obligations
Seller Obligations
Sellers must:
– Provide accurate and complete information about products or services offered for sale
– Comply with all applicable laws and regulations
– Fulfill orders in a timely manner
– Not list prohibited items as defined in our Platform Policies
– Maintain accurate inventory and pricing information
– Respond promptly to Buyer inquiries
Buyer Obligations
Buyers must:
– Provide accurate payment and shipping information
– Complete payment for purchased items
– Comply with all terms of sale established by Sellers
– Communicate respectfully with Sellers
– Not engage in fraudulent activities
5. Prohibited Activities
Users shall not:
– Post obscene, violent, or crude content
– Engage in illegal activities
– Harass or stalk other users
– Violate copyright laws
– Hack, introduce viruses, or tamper with the Marketplace
– Conduct scams or fraudulent activities
– Spam the service or other users
– Attempt to complete transactions outside the Marketplace platform
6. Fees, Payments, and Escrow
Escrow Service
All transactions conducted through the Marketplace are facilitated using an escrow service operated by Company. When a Buyer makes a purchase, the payment is held in escrow by Company until the transaction is completed in accordance with these Terms.
Transaction Process
1. Payment: Upon purchase, the Buyer’s payment is collected and securely held in escrow by Company.
2. Delivery: The Seller is responsible for delivering the purchased item, as described in the product listing, to the Buyer, in a timely manner.
3. Acceptance: Upon receipt of the item, the Buyer must confirm acceptance of the item through the Marketplace within the specified acceptance period. If the Buyer does not confirm acceptance or report an issue within this period, the item will be deemed accepted.
4. Settlement: After the Buyer’s acceptance (or deemed acceptance) of the item, Company will release the payment from escrow to the Seller, less any applicable commissions or fees as outlined in these Terms.
5. Disputes: If the Buyer reports an issue before acceptance, the funds will remain in escrow pending resolution of the dispute in accordance with Section 7 (Dispute Resolution).
Seller’s Commission
A commission, in the amount listed in Appendix A at the time of the transaction, will be deducted from the transaction amount prior to settlement with the Seller.
7. Dispute Resolution
Buyer-Seller Disputes
In the event of a dispute between a Buyer and Seller, the parties should first attempt to resolve the issue directly. If the parties cannot reach a resolution, Company may, at its discretion, mediate the dispute but is not obligated to do so.
Arbitration
Any dispute arising between users and Company shall be resolved through binding arbitration in accordance with the Revised Florida Arbitration Code and shall take place in Florida. The exact location to be determined solely by Company.
8. Limitation of Liability
To the maximum extent permitted by law, Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to the use of the Marketplace.
Company’s total liability for any claims arising under these Terms shall not exceed the amount paid by the user to Company for the specific transactions cited in the claims. These transactions shall be limited to only those that occurred in the twelve (12) months preceding the date of the claim.
9. Intellectual Property
Company’s Intellectual Property
All content, trademarks, logos, and other intellectual property displayed by Company on the Marketplace are the property of Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.
User Content
Users retain ownership of their content but grant Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Marketplace.
10. Termination
Company reserves the right to terminate or suspend any user’s access to the Marketplace, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Florida, without regard to its conflict of law provisions.
12. Changes to Terms
Company reserves the right to modify these Terms at any time. Users will be notified of significant changes. Continued use of the Marketplace after such modifications constitutes acceptance of the updated Terms.
13. Acceptance of Terms
By accessing or using the Marketplace, users acknowledge that they have read, understood, and agree to be bound by these Terms. If users do not agree to these Terms, they must not access or use the Marketplace.

Seller’s Commission: 11.99%
Seller’s Commission is applied to the agreed purchase price for each item; excluding taxes and shipping costs.
